automatic transmission problems

the auto in my 1980 powerwagon slips out easily and almost won't drive, when you put it into gear it makes almost a grinding sound or a winding sound. what would be the problem, would it be in the pump? I know that it is serious but how much do you think that it is to rebuilt a 727 transmission?
