The PTO from a NP420 will not fit a NP435. The input gear for the PTO is not in the right location, is has a different tooth pitch and diameter.
The Chelsea 352 PTO is made to fit the NP435, but the kicker is finding one with the right input gear specific to the Dodge NP435 (the input gears are interchangeable to fit different transmissions). After a lot of searching I ended up buying a new gear from Chelsea ($$$), since I could never find a used one.
I have a list around here somewhere that shows what input gears fit which transmission. Let me know if you need that info.
